1. Definitions
1.1. “Company” means Cotswold Wool Trader.
1.2. “Buyer” means any individual, firm or company purchasing Goods.
1.3. “Goods” means all products supplied by the Company.
1.4. “Contract” means any agreement for the sale of Goods incorporating these Terms.
2. Basis of Contract
2.1. All orders are subject to written acceptance by the Company.
2.2. Orders are placed via email unless otherwise agreed.
2.3. A Contract is formed only when the Company confirms acceptance in writing.
2.4. These Terms override any alternative terms unless agreed in writing.
2.5. By placing an order or interacting with our website, the Buyer agrees to these Terms.
3. Order Process
3.1. Orders are initiated via enquiry and confirmed by email.
3.2. The Company reserves the right to decline any order prior to acceptance.
3.3. All order details including product, pricing and delivery will be confirmed in writing.
4. Product Availability & Pre-Orders
4.1. Many Goods are supplied on a pre-order basis linked to seasonal shearing and small-batch production.
4.2. The Buyer acknowledges that:
- Goods may not be immediately available
- Production is subject to agricultural and seasonal factors
- Delivery timelines are estimates only
4.3. The Company will use reasonable efforts to meet timelines but does not guarantee specific delivery dates.
5. Pricing
5.1. All prices are exclusive of VAT unless stated otherwise.
5.2. VAT will be charged at the applicable rate where required.
5.3. Prices may be amended prior to order confirmation.
5.4. The Company reserves the right to adjust pricing due to increases in production, raw materials, or logistics.
6. Payment Terms – United Kingdom
6.1. Initial orders are supplied on a pro forma basis unless otherwise agreed.
6.2. Where credit terms are granted, payment is due within 14 days of invoice.
6.3. Sale-or-Return (where agreed):
- Goods are invoiced at dispatch
- A reconciliation will take place after the first month
- Payment for retailed goods is due within 7 days
- Unsold goods may be returned in original condition
- Returns are at the Buyer’s cost unless agreed otherwise
6.4. Time for payment is of the essence.
7. Payment Terms – Export Sales (USA & Canada)
7.1. A 30% deposit is required upon order confirmation.
7.2. The remaining balance is payable prior to shipment.
7.3. Goods will not be dispatched until full payment is received.
7.4. Sale-or-return is not available for export orders.
8. Late Payment
8.1. Interest may be charged under the Late Payment of Commercial Debts (Interest) Act 1998.
8.2. Statutory compensation and recovery costs may be applied.
8.3. The Company may suspend supply or withdraw credit terms if payment is overdue.
9. Retention of Title
9.1. Ownership of Goods remains with the Company until full payment is received.
9.2. Until ownership transfers, the Buyer shall:
- Store Goods separately
- Maintain condition
- Not use Goods as security
9.3. The Company may recover Goods if payment terms are not met.
10. Delivery & Risk
10.1. Delivery dates are estimates only.
10.2. Risk passes to the Buyer upon delivery.
10.3. Delays may occur due to factors outside the Company’s control.
10.4. Any damage or shortage must be reported within 48 hours.
11. Returns & Consumer Rights
11.1 Consumer (B2C)
- Right to cancel within 14 days of receiving goods
- Customers then have a further 14 days to return the goods
- Items must be unused and in original condition
- Return costs are the customer’s responsibility unless faulty
11.2 Pre-Orders
- May be cancelled before production begins
- Once production has started, cancellation may not be possible
11.3 Trade (B2B)
- Returns only accepted by prior agreement
- Sale-or-return applies only where agreed
12. International Duties & Taxes
12.1. The Buyer is responsible for all import duties, taxes and customs charges.
12.2. The Buyer is responsible for compliance with local regulations.
12.3. The Company is not liable for customs delays.
13. Product Description & Colours
13.1. Products are made from natural fibres and may be handcrafted.
13.2. Variations in colour, texture and finish are inherent and not defects.
13.3. Every effort is made to display product colours accurately; however, colours may vary depending on individual screen or monitor settings.
13.4. Natural wool fibres may feel textured against the skin. Suitability varies depending on the intended use, garment type, and individual sensitivity to different wool types.
14. Force Majeure
14.1. The Company shall not be liable for delays or failure caused by events beyond reasonable control, including:
- Agricultural supply fluctuations
- Transport disruption
- Natural events
- Regulatory changes
15. Limitation of Liability
15.1. Liability is limited to the value of Goods supplied.
15.2. The Company is not liable for indirect or consequential losses.
15.3. Nothing excludes liability where unlawful to do so.
16. Right to Refuse or Cancel Orders
16.1. The Company may refuse or cancel orders due to:
- Product availability
- Pricing errors
- Operational constraints
- Geographic location or shipping restrictions
17. Third-Party Websites & Links
17.1. The website may include links to third parties including mills, tourism organisations and partner businesses.
17.2. These links are provided for convenience only.
17.3. The Company accepts no responsibility for third-party content or policies.
